The Exchange Club Fees

  1. There is an up-front annual membership fee. You agree to read fully all instructions for each exchange meeting and comply with all fees and agreements as presented at registration. If there is nothing that interests you, tell us about it and we will TRY to get that item in the meeting. The only other fee is a success fee that will be from 5% to 25% of the item value. You understand that the success fee is only paid when a transaction is successful and payable at closing. Payment of applicable taxes for the certificate value is the responsibility of the certificate holder.

  2. You understand that you should contact your tax counsel or local taxing authority regarding income or sales tax liability that you may be responsible for. You understand that these are your responsibilities and not those of The Exchange Club.

  3. If you are unable to attend a particular exchange meeting of The Exchange Club, it is possible for professionals at The Exchange Club to bid on your behalf for items or services that we anticipate being available at the next exchange meeting. You should agree to execute appropriate proxies to be given to the The Exchange Club professionals that guarantee your performance on any transactions found at the meeting. The Proxy document must be signed.

  4. If the session you register for is a "Balanced Equity" exchange meeting and if the service, product, or item you are a taker for, is valued more than the service, product, or item you are offering then you agree to balance the equities with cash, check or credit card. Likewise understand that if you receive a bid item or service valued less than the service, product, or item being offered you will receive the difference in cash if an exchange is successful. It is understood that all checks will be deposited for collection on the following business day.

  5. If you need to ship an item to or from your area, arrangements will need to be made between buyer and seller. The shipping fee is not part of the certificate/voucher or value of the item auctioned off.

The Exchange Club Rules

  1. If you make an offer with services, products, or items that is accepted, you will honor the outcome just as though it were at a cash auction.

  2. If you offer your services, products, or items in the form of certificates such certificates may be used as currency to buy other services, products, or items at the The Exchange Club exchange meeting. You understand that the value of the certificates offered must be of the same current market value as any similar services, products, or items offered for sale by you or your business. It is understood that certificates are 100% transferable, unless otherwise stipulated prior to the bidding process, to other parties after the exchange meeting and will always be honored in the same appropriate manner. The current holder of the certificate does not need to disclose the fact that he will be using the certificate as currency when pricing the services, products, or items entitled to under our certificate. You must agree to deliver any certificate services on a timely basis as would be customary to any other existing customer.

  3. You understand that the The Exchange Club software has been successful in similar meetings in finding multiple exchanges so that the maximum possible number of participants can receive at least one of the services, products, or items that would complete a successful transaction for each participant. The ability for a successful transaction is dependent on many factors including the number of taker bids that you present at the meeting. You understand that only one party can be successful on each service, product, or item. There can only be one successful bidder per service, product, or item. You also agree to be bound by those results of The Exchange Club exchange transaction. You understand that The Exchange Club makes no guarantee of a successful exchange involving your product or service. If your offer is accepted, you agree to honor the outcome just as though it were at a cash auction.

  4. You will not hold The Exchange Club responsible for any disputes arising from the sales or purchases made at this meeting. The Exchange Club is simply a facilitator to help make transactions and has no authority or responsibility to be an arbitrator in any dispute.

  5. You agree to bid only on what you want or can use in your business and understand that The Exchange Club is not liable for any mistaken bids or misunderstanding on services, products, or items being offered by participants in the meeting. You understand that you are fully responsible for any bids given at a meeting and shall perform as required at any other normal "buyer-beware" auction or sale. You understand that all representations on services, products, or items are the responsibility of the Seller of that service, product, or item and The Exchange Club accepts no liability for quality of item or service performed.
